Professional Terms of Service

These Professional Terms ("Pro Terms") govern your use of HomeTeam Connect ("HomeTeam Connect," "we," "us") as a real estate agent ("Realtor") or mortgage loan originator ("Loan Officer," collectively "Members" or "you"). They supplement, and are read together with, our general Terms of Service and Privacy Policy. By creating a professional account, subscribing, or accepting any client introduction, you agree to these Pro Terms.

1. Eligibility & Licensing

You represent and warrant that: (a) you hold an active, unrestricted real estate or NMLS license in every jurisdiction in which you transact through the platform; (b) you are affiliated with a brokerage or lending institution authorized to sponsor your activity; (c) you are not subject to any pending disciplinary action, suspension, or revocation that would materially affect your ability to serve clients; and (d) you will immediately notify HomeTeam Connect of any change to your license status, sponsoring brokerage, or NMLS registration.

2. Identity & Profile Accuracy

You agree to provide accurate, current, and complete information in your profile, including your legal name, license number, photo, sponsoring brokerage or lender, service areas, and contact information. You understand HomeTeam Connect markets you to consumers based on this information and that misrepresentation is grounds for immediate suspension, removal, and forfeiture of any prepaid fees.

3. Subscription, Billing & Cancellation

Membership is offered on a recurring monthly or annual subscription. Fees are billed in advance, are non-refundable except as required by law, and renew automatically until cancelled in your account settings before the next renewal date. Pricing, included features, and city caps are described on the public Realtor and Loan Officer pages and may be updated with reasonable notice; existing terms apply through the end of your current billing period.

4. Good-Faith Use of the Platform (Primary-Channel Clause)

Realtors and Loan Officers agree to use HomeTeam Connect in good faith as the primary platform for client communication, deal updates, shared documents, invitations, and transaction coordination when reasonably possible.

Members understand the platform is designed to reduce fragmented communication across separate apps, texts, emails, and links, and to provide buyers with a simpler and more transparent experience.

Members may still use outside tools when necessary for legal compliance, brokerage requirements, lender systems, e-signature platforms, or urgent communication, but they should keep key client-facing updates and collaboration organized through HomeTeam Connect whenever practical.

Repeatedly steering matched clients off-platform without a legitimate reason — particularly to avoid auditability, circumvent the Deal Room, or dilute the buyer experience — may result in warnings, throttled introductions, suspension, or termination at our reasonable discretion.

5. Client Conduct & Fair Housing

You agree to treat every buyer, co-professional, and HomeTeam Connect team member with professionalism and respect. You will comply with the federal Fair Housing Act, the Equal Credit Opportunity Act, RESPA, TILA/Regulation Z, TCPA, CAN-SPAM, state real estate and lending laws, NAR or applicable REALTOR® Code of Ethics where you are a member, and all rules of your sponsoring brokerage or lender. Discrimination, harassment, steering, redlining, kickbacks, or undisclosed referral arrangements are strictly prohibited and grounds for immediate removal.

6. No Referral Fees from HomeTeam Connect

HomeTeam Connect charges a flat subscription fee for access to the platform. We do not collect referral fees, success fees, or a percentage of any commission or loan. Our fee is solely for software, marketing placement, and platform services and is not contingent on closing a transaction.

7. Communications & Consent

You agree to respond to client messages and Deal Room activity in a timely, professional manner. You will only contact a buyer through channels and frequencies they have consented to, and you will honor opt-out, do-not-contact, and unsubscribe requests immediately. You are solely responsible for compliance with TCPA and any state telemarketing or text-messaging laws when you contact clients outside HomeTeam Connect.

8. Documents, Data & Confidentiality

You are responsible for the accuracy and lawful handling of any document you upload, request, or share through the platform. You agree to treat buyer information — including financial documents, identity records, and transaction details — as strictly confidential and to use it only for the purpose of serving that client. You will not export, scrape, resell, or share buyer data with third parties except as required to perform the transaction or comply with law.

9. Reviews, Ratings & Reputation

Buyers may rate and review you after working with you. You agree not to solicit fake reviews, offer incentives in exchange for reviews, retaliate against honest negative feedback, or attempt to manipulate ratings. We may remove reviews that violate our policies but generally will not remove a review solely because it is unfavorable.

10. Independent Contractor; No Agency

You are an independent licensed professional. HomeTeam Connect is a technology platform — not a real estate brokerage, mortgage lender, referral service, or your employer. Nothing in these Pro Terms creates a partnership, joint venture, agency, fiduciary, franchise, or employment relationship between you and HomeTeam Connect. You are solely responsible for the real estate or lending advice you give and for the contracts you and your client sign.

11. Intellectual Property & License

HomeTeam Connect grants you a limited, non-exclusive, non-transferable, revocable license to use the platform during your active subscription. You retain ownership of content you upload but grant HomeTeam Connect a worldwide, royalty-free license to host, display, and process that content as needed to operate the platform and to display your profile, headshot, bio, and reviews to prospective buyers.

12. Suspension & Termination

We may suspend, restrict, or terminate your account at any time for violations of these Pro Terms, the general Terms of Service, applicable law, or for conduct that we reasonably believe harms buyers, other Members, or the integrity of the platform. You may cancel your subscription at any time from account settings; cancellation stops future renewals but does not retroactively refund the current period.

13. Disclaimers; No Guarantees

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. We do not guarantee a specific number of leads, introductions, closings, conversions, commissions, loan volume, response times, ranking, visibility, or revenue. We do not verify every fact a buyer provides, every document uploaded, every review posted, or every representation made by another professional, and we do not provide legal, tax, financial, compliance, underwriting, brokerage, or licensing advice to you. You must independently verify whatever your license, brokerage, lender, or law requires you to verify.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMETEAM CONNECT, ITS AFFILIATES, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST COMMISSIONS, LOST LOANS, LOST PROFITS, LOST BUSINESS, LOST REVENUE, LOST DATA, GOODWILL, REPUTATIONAL HARM, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE PLATFORM, ANY THIRD-PARTY CONDUCT, OR ANY RELIANCE ON LEADS, INTRODUCTIONS, REVIEWS, LISTINGS, MESSAGES, OR PLATFORM SUGGESTIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE PRO TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO HOMETEAM CONNECT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THIS CAP IS INTENDED TO BE CONSISTENT WITH THE LIMITATION OF LIABILITY IN OUR GENERAL TERMS OF SERVICE.

15. Indemnification

You agree to defend, indemnify, and hold harmless HomeTeam Connect, its affiliates, and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, fines, penalties, and costs (including reasonable attorneys' fees) arising out of or related to: (a) your acts or omissions in advising, representing, soliciting, or serving any client or prospective client; (b) your violation of any law, regulation, license, NMLS or NAR rule, brokerage or lender policy, or fair-housing requirement; (c) discrimination, steering, harassment, or retaliation by you; (d) any content, document, photo, profile information, or message you upload, submit, or send through or off the Platform; (e) your communications with clients, including TCPA, CAN-SPAM, or state telemarketing/texting violations; (f) disputes with contractors, vendors, co-professionals, or other third parties; (g) misrepresentations in your profile, licensing information, or marketing claims; (h) conduct that occurs off the Platform with a client introduced or matched through the Platform; or (i) your breach of these Pro Terms or our general Terms of Service.

16. Insurance

You are responsible for maintaining errors-and-omissions, professional liability, general liability, and any other insurance coverage required by your license, brokerage, lender, or applicable law. HomeTeam Connect does not provide insurance coverage to you and is not a named insured under any policy covering your professional activities.

17. Changes to These Terms

We may update these Pro Terms from time to time. Material changes will be communicated by email or in-app notice with reasonable advance notice. Continued use of the platform after the effective date constitutes acceptance of the updated terms.

18. Governing Law; Arbitration; Class-Action Waiver

These Pro Terms are governed by the laws of the State in which HomeTeam Connect is organized, without regard to its conflict-of-law principles. The parties will first attempt to resolve disputes in good faith. Any dispute, claim, or controversy that cannot be resolved informally will be resolved by binding individual arbitration administered under the rules of a reputable arbitration provider (such as the American Arbitration Association) before a single arbitrator, except either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, or to collect unpaid fees. You and HomeTeam Connect waive the right to a jury trial and the right to participate in any class, collective, or representative action. If arbitration is unavailable or unenforceable, the exclusive venue for any court action will be the state or federal courts located in the jurisdiction where HomeTeam Connect is organized.

19. Entire Agreement; Order of Precedence

These Pro Terms, together with our Terms of Service and Privacy Policy, constitute the entire agreement between you and HomeTeam Connect regarding your professional use of the Platform and supersede any prior agreements on the same subject. If there is a conflict between these Pro Terms and the general Terms of Service with respect to professional use, these Pro Terms control. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
