These Terms of Service ("Terms") govern your access to and use of HomeTeam Connect ("HomeTeam Connect," "we," "us," or "our"), including our website, applications, messaging, document storage, neighborhood and home features, and related services (collectively, the "Platform"). By creating an account, accessing, or using the Platform, you agree to these Terms, our Privacy Policy, and, if you are a real estate or mortgage professional, our Professional Terms of Service. If you do not agree, do not use the Platform.

1. What HomeTeam Connect Is — And Is Not

HomeTeam Connect is a software, marketing, and coordination platform that helps consumers organize their home journey and connect with independently licensed real estate agents ("Realtors") and mortgage loan originators ("Loan Officers"). We are not a real estate brokerage, mortgage lender, mortgage broker, loan originator, escrow agent, title company, appraiser, inspector, insurer, contractor, financial advisor, investment advisor, tax advisor, accountant, or law firm. We do not provide legal, tax, financial, underwriting, escrow, title, appraisal, inspection, insurance, or compliance advice. All real estate, lending, and related services are provided by independent third-party professionals you choose to engage, and your relationship with those professionals is solely between you and them.

Nothing on the Platform creates a fiduciary, agency, brokerage, employment, partnership, or joint-venture relationship between you and HomeTeam Connect.

2. No Guarantees of Outcome

We do not guarantee any particular result, including loan approval, interest rate, closing, savings, home value, match quality, response time, lead volume, professional availability, vendor performance, or homeownership outcome. Estimates, calculators, neighborhood content, recommendations, and educational material on the Platform are provided for general informational purposes only and are not a substitute for independent professional advice.

3. Eligibility & Accounts

You must be at least 18 years old and legally able to form a binding contract to use the Platform. You agree to provide accurate, current, and complete information, to keep it updated, and to keep your login credentials secure. You are responsible for all activity that occurs under your account and must notify us promptly of any unauthorized use.

4. Professional Listings & Your Due Diligence

Realtors and Loan Officers on the Platform are independent licensees. We perform reasonable identity and license checks at signup, but we do not continuously monitor or independently verify every credential, statement, review, disclosure, document, fee, or representation made by any professional or user. Before engaging any professional, vendor, contractor, or service provider, you are responsible for conducting your own due diligence, including verifying licensing, insurance, references, and contract terms.

5. User Content & Uploads

You retain ownership of files, messages, photos, documents, notes, profile content, reviews, and other materials you submit or upload ("User Content"). You grant HomeTeam Connect a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, and process your User Content solely to operate, secure, support, and improve the Platform and to provide the features you have requested.

You represent and warrant that you have all rights necessary to upload and share your User Content, that it does not violate any law or third-party right, and that it is accurate. You are solely responsible for your User Content. We may remove, restrict, quarantine, preserve, or disclose User Content when we reasonably believe it is necessary for safety, policy enforcement, fraud or abuse review, security, legal process, or platform integrity. We are not responsible for any loss, corruption, deletion, or misuse of User Content, except as required by applicable law.

6. Neighborhood, Contractor & Third-Party Content

Neighborhood feeds, community posts, contractor and vendor listings, preferred contacts, homeowner records, third-party data, and recommendations are provided for convenience only. We do not endorse, warrant, insure, supervise, screen, license, or guarantee any contractor, vendor, neighbor, third-party service, or user-submitted recommendation. Any dealing you have with a third party is solely between you and that third party. HomeTeam Connect is not responsible for property damage, project disputes, workmanship, pricing, delays, permits, code compliance, scheduling, materials, injuries, or any other matter arising from third-party services.

7. Communications & Consent

By creating an account or providing your contact information, you consent to receive transactional, security, and account-related communications from HomeTeam Connect by email, SMS, push, or in-app message. You may opt out of marketing communications at any time using the unsubscribe link or your notification settings; opting out does not affect required service messages. If you contact other users or professionals outside the Platform, you are solely responsible for complying with all applicable laws, including the TCPA, CAN-SPAM, and state telemarketing and texting rules. Spam, harassment, impersonation, or misuse of communication tools is prohibited.

8. Acceptable Use & Prohibited Conduct

You agree not to: (a) create fake or impersonating accounts; (b) harass, threaten, defame, or discriminate against any person; (c) commit fraud or deceive other users; (d) scrape, crawl, harvest, reverse engineer, decompile, or attempt to derive the source code of the Platform; (e) introduce malware or interfere with security; (f) evade city caps, account limits, billing, or enforcement actions; (g) manipulate reviews, ratings, rankings, listings, or any trust or visibility system; (h) use the Platform to violate any law, license, brokerage, or lender requirement; or (i) use the Platform to compete with HomeTeam Connect or build a competing service.

9. Equal Housing & Anti-Discrimination

HomeTeam Connect supports the federal Fair Housing Act and applicable state and local fair-housing laws. Discrimination, steering, or harassment based on race, color, religion, sex (including gender identity and sexual orientation), disability, familial status, national origin, source of income, or any other protected characteristic is strictly prohibited and is grounds for immediate removal from the Platform.

10. Subscriptions, Billing & No Refunds

Certain features require a paid subscription. By starting a paid plan, you authorize HomeTeam Connect and its payment processors to charge your selected payment method on a recurring basis (monthly or annual, as applicable) until you cancel. Subscriptions renew automatically at the then-current price unless cancelled before the renewal date. Fees are non-refundable except where required by applicable law, including partial-period, unused-time, or mid-cycle cancellations. You are responsible for applicable taxes. We may suspend access for failed or disputed payments and may pass through reasonable fees for chargebacks made in bad faith.

11. Account Suspension & Termination

We may suspend, restrict, or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or another user's rights, or to protect the integrity, security, or reputation of the Platform. You may close your account at any time from your settings; certain information may be retained as described in our Privacy Policy or as required by law.

12. Disclaimers

THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES, OR THAT ANY DATA WILL BE ACCURATE, COMPLETE, OR PRESERVED. NO ADVICE OR INFORMATION OBTAINED FROM HOMETEAM CONNECT CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMETEAM CONNECT, ITS AFFILIATES, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, COMMISSIONS, LOANS, BUSINESS, REVENUE, GOODWILL, DATA, REPUTATION, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, ANY THIRD-PARTY CONDUCT, OR ANY RELIANCE ON REVIEWS, LISTINGS, MESSAGES, RECORDS, NEIGHBORHOOD CONTENT, OR PLATFORM SUGGESTIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO HOMETEAM CONNECT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify, and hold harmless HomeTeam Connect, its affiliates, and its personnel from any third-party claims, damages, losses, liabilities, fines, and costs (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms or any law; (d) your violation of another person's rights; (e) your interactions or disputes with any professional, vendor, contractor, or other user; or (f) any communications you send.

15. Governing Law; Arbitration; Class-Action Waiver

These Terms are governed by the laws of the State in which HomeTeam Connect is organized, without regard to its conflict-of-law principles. Except for claims for injunctive or equitable relief to protect intellectual property, confidential information, or to collect unpaid fees, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration administered under the rules of a reputable arbitration provider (such as the American Arbitration Association) before a single arbitrator. You and HomeTeam Connect waive the right to a jury trial and the right to participate in any class, collective, or representative action. If arbitration is unavailable or unenforceable, the exclusive venue for any court action will be the state or federal courts located in the jurisdiction where HomeTeam Connect is organized.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice with reasonable advance notice. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
